1. Agreement to Terms
By accessing or using Signal Studio NYC ("we," "our," or "us") and our website signalstudionyc.com, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.
2. Our Service
Signal Studio NYC operates a managed photography matching and coordination service. We collect project requirements, recommend an available photographer, and may help coordinate the booking. Unless a written agreement expressly says otherwise, the photography itself is provided by an independent photographer identified before booking.
3. User Responsibilities
When using our service, you agree to:
- Provide accurate and complete information in your intake form
- Not upload content that infringes on others' rights or is illegal, offensive, or inappropriate
- Conduct yourself professionally when communicating with photographers we match you with
- Honor any agreements you make directly with photographers (scheduling, payment, deliverables)
4. No Guarantee of Match
We strive to match every client with a suitable photographer, but we do not guarantee that we will find a match for every inquiry. Availability, service type, timeline, and budget may affect our ability to make a match.
5. Fees and Payment
Prices shown on the site are planning rates for the described package, not a binding quote. After an eligible consumer intake, you may optionally pay a $100 priority scheduling deposit to Signal Studio NYC. That deposit is credited in full toward your final session total and does not guarantee an exact date until availability is confirmed. If we cannot accommodate your request, the deposit will be refunded. Your final scope, deliverables, usage rights, photographer or production provider, remaining balance, cancellation terms, and any expenses will be stated in the booking agreement. If the final terms differ from a published package, the written booking agreement controls. Signal Studio NYC may facilitate coordination or payment, but it does not become the photography provider unless the written agreement expressly identifies it that way.
6. Intellectual Property
The content, design, and branding of signalstudionyc.com are owned by Signal Studio NYC. You may not copy, modify, or distribute our content without permission. Photographs created during sessions are subject to agreements between you and your photographer.
7. Limitation of Liability
Signal Studio NYC is not liable for the conduct of photographers, the quality of photography services, or any damages arising from your use of our matching service or from transactions with photographers. Our liability is limited to the extent permitted by law.
8. Indemnification
You agree to indemnify and hold Signal Studio NYC harmless from any claims, damages, or expenses arising from your use of our service or your violation of these terms.
9. Modifications
We may modify these Terms of Service at any time. We will update the "Last updated" date when changes are made. Continued use of our services after changes constitutes acceptance of the updated terms.
10. Termination
We may suspend or terminate your access to our services at our discretion, with or without cause. You may stop using our services at any time.
11. Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict of law principles.
